1. Acceptance of Terms
By using our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
2. Services
Neolumio Software provides app development services including but not limited to:
- Mobile application development (iOS, Android)
- Web application development
- Progressive Web App (PWA) development
- IoT and embedded systems development
- Consulting and technical advisory services
- We reserve the right to refuse service to anyone for any reason at any time, particularly if a project violates our ethical standards or technical capabilities.
3. Client Responsibilities
When engaging our services, clients agree to:
- Provide accurate and complete project requirements
- Respond to communications in a timely manner
- Provide necessary materials, content, and approvals
- Make payments according to agreed terms
4. Intellectual Property
Unless otherwise agreed in writing:
- Upon full payment, clients receive ownership of custom code developed specifically for their project
- Neolumio retains ownership of proprietary tools, libraries, and frameworks
- Third-party components remain subject to their respective licenses
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of a project. This includes business plans, technical specifications, and any other sensitive information.
6. Payment Terms
Payment terms will be specified in individual project agreements. General terms include:
- Deposits may be required before work begins
- Milestone payments as specified in project agreements
- Final payment due upon project completion
- Late payments may be subject to interest charges as permitted by law
7. Warranties and Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner. However, we do not warrant that software will be error-free. We provide a reasonable warranty period for bug fixes as specified in project agreements.
8. Limitation of Liability
To the maximum extent permitted by law, Neolumio Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services.
9. Termination
Either party may terminate a project agreement with written notice as specified in the agreement. Upon termination, the client shall pay for all work completed up to the termination date.
10. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved in the courts of Tokyo, Japan.
11. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
12. Mobile Applications
Applications developed by Neolumio Software and distributed through third-party platforms (including but not limited to Apple App Store and Google Play Store) are subject to the respective platform's terms and conditions. In case of any conflict between these Terms of Service and the platform's policies, the platform's policies shall prevail for matters related to app distribution and in-app transactions.
